We were engaged by a major telecom operator in the Middle East to provide advice on its tower monetisation and passive infrastructure strategy across the Group’s footprint including: 

  • Identification of priority markets for tower carve out
  • Estimation of value creation per market (both at TowerCo and OpCo level)
  • Recommendation of optimal transaction structure per market
  • Assessment of key risks and mitigating factors
  • Transaction process tailoring

Our approach

With shareholders’ value creation as the main consideration, the project team conducted the engagement through a detailed assessment at OpCo level including:

  • Assessment of the tower portfolio, consisting of wind load and share-ability analysis
  • Assessment of OpCo market including regulatory and competitive environment
  • Definition of TowerCo business case for each of the markets
  • Definition of deal structure to maximise value creation and transaction feasibility

Leveraging on the existing infraco strategy and tower monetisation expertise coupled with in-depth knowledge of the Group’s markets, we were able to present to the client with a detailed TowerCo opportunity assessment for each of the OpCos as well as a prioritisation roadmap based on execution considerations and shareholder value creation
